Governance & Compliance
• Maintain the organisation's governance records — constitution/trust deed, policies, and board register.
• Ensure board activities align with the Charities Act 2005, Companies Office / Incorporated Societies requirements, and our own trust deed.
• Support the Chair in meeting legal, regulatory, and reporting obligations.
• Lodge annual returns and maintain statutory records as required.
Meetings
• Prepare and circulate agendas in consultation with the Chair.
• Record accurate, clear minutes of board and annual general meetings.
• Maintain a register of resolutions and actions, and track follow-through.
• Coordinate meeting logistics and ensure papers are circulated in advance.
Communication & Records
• Act as custodian of official board correspondence and records.
• Support clear communication between board, staff, and members.
• Maintain a forward calendar of governance tasks and deadlines.

Requirements:

• Strong written communication and organisational skills.
• Attention to detail and a methodical, reliable approach.
• Experience in administration, governance, company secretarial work, legal, or a similar field (desirable but not essential).
• Confidence with digital tools — shared drives, video meetings, and document platforms.
• Ability to maintain confidentiality and act with impartiality.
• Alignment with our conservation kaupapa and commitment to te ao Māori principles where relevant.

Time commitment:

Approximately 6 hours per month, including attendance at monthly board meetings, preparation time, and periodic committee or AGM duties
